This Terms and Conditions Agreement (“Agreement”) constitutes a rigorous and legally binding contractual instrument executed between you (“User”, “you” or “your”) and AI Financial Power Group Limited (“AI Financial”, “we”, “us” or “our”). By electing to access the Website, you hereby provide your unconditional assent to be bound by the exhaustive provisions contained herein. If you are acting as an agent for a corporate entity or legal person, you represent and warrant that you possess the requisite legal authority to bind said entity to this Agreement.

Self-Directed Risk: All financial decisions, including but not limited to investment loans, RRSP/TFSA contributions, and segregated fund allocations, are made solely at your discretion.
No Fiduciary Relationship: Your use of the Website does not establish a broker-client or advisor-client relationship until a formal, written engagement agreement is executed between you and AI Financial.

2. ELIGIBILITY AND RESIDENCY RESTRICTIONS

By using the Services, you represent and warrant that you meet these eligibility requirements. AI Financial reserves the right to terminate access to the Services if it is determined that information has been provided by a minor or a non-resident of the sanctioned jurisdictions.

3. THIRD-PARTY RESOURCES AND FINANCIAL INSTRUMENTS

The Website may facilitate links to third-party resources, including but not limited to, banking portals, insurance underwriters (e.g., Manulife, Sun Life, IA Financial), and investment fund managers.

4. PROHIBITED USES AND SYSTEM INTEGRITY

Users are strictly prohibited from utilizing the Website or its Content for: (a) any unauthorized commercial exploitation; (b) the automated extraction of data via “scraping,” “crawling,” or “spidering” technologies; (c) the transmission of malicious code, trojans, or logic bombs; (d) infringing upon the statutory intellectual property rights of AI Financial; or (e) engaging in any conduct that violates the Criminal Code of Canada or provincial securities regulations. Violation of these provisions shall result in immediate termination of access and potential referral to law enforcement.

5. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

All text, graphics, logos, seminar materials, and proprietary financial calculators (the “Content”) are the exclusive property of AI Financial or its licensors and are protected by the Copyright Act of Canada and international intellectual property treaties. No portion of the Content may be reproduced, redistributed, or repurposed without express written authorization from AI Financial.

6. LIMITATION OF LIABILITY AND INDEMNIFICATION

To the maximum extent permitted by the laws of the Province of Ontario:

Liability Cap: AI Financial’s aggregate liability for any claim arising from the Services shall be limited to $1.00 CAD or the total fees paid by the User to AI Financial in the one-month period preceding the event giving rise to the claim.
Consequential Damages: In no event shall AI Financial be liable for indirect, punitive, or consequential damages, including loss of profit or anticipated savings.
Indemnity: You agree to indemnify and hold harmless AI Financial and its officers from any third-party claims arising from your breach of this Agreement or your misuse of the financial information provided.

7. DISPUTE RESOLUTION AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the substantive laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding relating to your access to, or use of, the Website shall be instituted in a provincial or federal court in Ontario. You hereby waive any right to a trial by jury or to participate in a class-action lawsuit.

8. SEVERABILITY AND ENTIRE AGREEMENT

If any provision of this Agreement is deemed unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. This Agreement, together with the Privacy Policy, constitutes the entire understanding between the parties regarding the use of the Website.

9. AMENDMENTS

AI Financial reserves the unilateral right to modify these terms at any time without prior notice. Such modifications become effective immediately upon being posted to the Website. Your continued usage of the Services constitutes acceptance of the modified Agreement.
